1. Acceptance of these terms

These Terms & Conditions ("Terms") are a legal agreement between you and Tedlance Solutions Pvt Ltd ("Tedlance", "we", "us", or "our"). They apply when you access or use a Tedlance website, Android application, mobile application, software platform, product, or related service (collectively, the "Services").

By accessing or using a Service, creating an account, or accepting these Terms in an App, you agree to them. If you use a Service on behalf of an organization, you confirm that you are authorized to bind that organization. If you do not agree, do not use the Service.

2. Services covered

These Terms cover Tedlance-branded Services, including ZeroScienceLab, eCounter, CodRx, and other Apps published under the Tedlance developer account, unless a separate written agreement or product-specific terms apply. Customer contracts, school agreements, healthcare agreements, order forms, or enterprise service agreements may contain additional or different terms. Where there is a conflict, the specifically negotiated agreement controls for that Service.

3. Eligibility and minors

You must have legal capacity to accept these Terms. If you are below the age at which you can enter into a binding contract in your jurisdiction, a parent, guardian, school, or authorized organization must approve your use where required.

Education Services may be provided through a school, teacher, or parent. Those administrators are responsible for obtaining permissions required for student use and for giving users appropriate notices. Children may use a Service only as permitted by the applicable product, law, and Google Play policies.

4. Accounts and security

  • Provide accurate, current information and keep it updated.
  • Keep credentials confidential and do not share access except through authorized account-management features.
  • Notify us promptly if you suspect unauthorized access or a security incident.
  • You are responsible for activity under your account to the extent permitted by law.

Accounts supplied by an employer, school, clinic, or other organization may be administered by that organization. Its administrator may control access, content, retention, and account settings under its agreement with us.

5. Limited licence

Subject to these Terms and any applicable subscription or agreement, Tedlance grants you a limited, personal or internally organizational, non-exclusive, non-transferable, revocable licence to access and use the Service for its intended purpose. No ownership rights are transferred.

You may not copy, rent, sell, sublicense, distribute, reverse engineer, decompile, bypass security, remove ownership notices, or create derivative works from a Service except where applicable law expressly permits and does not allow that restriction to be waived.

6. Acceptable use

You must not use a Service to:

  • Violate law, another person’s rights, or contractual or professional obligations.
  • Upload unlawful, harmful, deceptive, infringing, discriminatory, or malicious content.
  • Introduce malware, probe or disrupt systems, evade limits, or gain unauthorized access.
  • Impersonate others, misrepresent affiliation, commit fraud, or interfere with another user.
  • Scrape, harvest, or use automated means beyond documented interfaces without written permission.
  • Use outputs for decisions that legally require qualified human review without obtaining that review.

We may investigate suspected misuse and take proportionate action, including limiting features, preserving evidence, suspending access, or notifying affected parties or authorities where legally appropriate.

7. Your content and data

You retain ownership of content you lawfully submit to a Service. You grant Tedlance and its processors a limited right to host, copy, transmit, format, process, and display that content only as needed to provide, secure, support, and improve the Service, follow your instructions, and comply with law.

You confirm that you have the rights and permissions needed to submit the content, including any personal, education, business, or health information. Do not submit information that the Service is not designed or authorized to process.

For enterprise or organization-managed Services, the relevant customer agreement may define content ownership, controller/processor roles, permitted processing, and data return or deletion obligations.

8. AI-assisted features

Some Services use artificial intelligence to generate suggestions, summaries, simulations, classifications, codes, or other output. AI output may be incomplete, inaccurate, or unsuitable for a particular context. You are responsible for reviewing output before relying on it.

AI features are not a substitute for professional medical, legal, financial, engineering, or other regulated advice. CodRx output, for example, should be reviewed by appropriately qualified healthcare or coding professionals before use in clinical, billing, or compliance decisions. We do not guarantee that AI output is error-free or compliant with every payer, regulator, institution, or professional standard.

9. Subscriptions, payments, and refunds

Paid features, prices, taxes, billing periods, and renewal terms will be shown before purchase or set out in an order form. Purchases made through Google Play are also governed by Google Play’s billing terms and cancellation process.

Unless otherwise required by applicable law or a written agreement, fees already earned for a completed billing period are non-refundable. You can manage Google Play subscriptions through your Google Play account. Deleting an App or account does not automatically cancel an external subscription; complete any cancellation step stated in the App, Google Play, or the applicable order form.

10. Privacy and account deletion

Our Privacy Policy explains how we handle personal and device data. By using a Service, you acknowledge those practices. Where an App allows account creation, you may request permanent deletion through the in-app option where available or through our Account & Data Deletion page.

11. Third-party services

A Service may interact with Google Play, payment providers, cloud platforms, communication services, maps, analytics, authentication providers, customer systems, or other third-party services. Their own terms and privacy policies apply to their services. Tedlance is not responsible for a third party’s independent products, content, availability, or acts, except to the extent required by law.

12. Tedlance intellectual property

The Services, software, interfaces, designs, documentation, trademarks, logos, databases, and original content are owned by Tedlance or its licensors and protected by applicable intellectual-property laws. "Tedlance", ZeroScienceLab, eCounter, CodRx, and related marks may not be used in a way that suggests endorsement or affiliation without written permission.

If you provide feedback, you permit us to use it without restriction or payment, provided we do not publicly identify you as the source without permission.

13. Changes and availability

We may improve, modify, add, or discontinue features, subject to customer agreements and applicable law. We aim to provide reliable Services but cannot promise uninterrupted or error-free operation. Maintenance, internet failures, third-party outages, security events, or circumstances beyond reasonable control may affect availability.

14. Disclaimers

To the maximum extent permitted by law, Services are provided "as is" and "as available". Tedlance disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and accuracy, except where a warranty cannot legally be excluded.

Nothing in these Terms excludes statutory consumer protections that apply to you or warranties expressly given in a separate written agreement.

15. Limitation of liability

To the maximum extent permitted by law, Tedlance will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for loss of profits, revenue, opportunity, goodwill, or data arising from use of a Service.

Where liability cannot be excluded, Tedlance’s aggregate liability for claims relating to a paid Service will not exceed the amount you paid Tedlance for that Service during the twelve months preceding the event giving rise to the claim. For a free Service, aggregate liability will not exceed INR 1,000. These limits do not apply where prohibited by law, including liability that cannot be limited for fraud, wilful misconduct, or personal injury.

16. Suspension and termination

You may stop using a Service at any time. You may cancel a subscription through its stated process and request account deletion separately. We may suspend or terminate access for material breach, non-payment, security risk, unlawful use, or where required by law. Where reasonable, we will provide notice and an opportunity to cure.

Terms that by their nature should survive termination—including ownership, payment obligations, disclaimers, liability limits, dispute terms, and lawful retention—will continue to apply.

17. Governing law and disputes

These Terms are governed by the laws of India, without regard to conflict-of-law rules. Subject to mandatory consumer rights and any applicable written agreement, courts of competent jurisdiction in Andhra Pradesh, India will have jurisdiction.

Before filing a formal claim, please contact us and allow a reasonable opportunity to resolve the issue informally. This section does not prevent either party from seeking urgent protective relief or using a remedy required by applicable law.

18. Changes to these terms

We may update these Terms to reflect legal, technical, or operational changes. We will update the date above and provide additional notice when a material change affects existing users. Continued use after the effective date of updated Terms constitutes acceptance where permitted by law.
